When Is Form 1120-S Due?
A calendar-year S corporation generally files Form 1120-S by March 15; Form 7004 generally extends the filing deadline.
How it works
The rule, and what it turns on.
Late filing can trigger a per-shareholder, per-month penalty under IRC §6699 even if no entity income tax is due.
Example
A two-shareholder S corporation waiting on records should file Form 7004 on time rather than miss the deadline.
Common mistakes
What we see go wrong, and what we do instead.
- Assuming no tax due means no penalty.
A better approach
- Extend early if bookkeeping cannot be completed by the original due date.
